Terms and Conditions of Sale

0. Introduction

These Terms and Conditions govern your use of our website and the purchase of goods from The Tool & Gauge Company (UK) Limited (“we”, “us”, “our”). We specialise in the sale of engineering tools including hand tools, power tools, precision tools, and machinery, among other industrial supplies. By placing an order, you agree to be bound by these terms. These terms do not affect your statutory rights as a consumer.

1. Definitions

“Buyer”, “Customer”, or “You” refers to the person, firm, or company purchasing Goods from us.
“Contract” means the agreement formed between you and us once your order is confirmed.
“Goods” refers to the products supplied by us.
“Site” or “Website” refers to www.diytools.com.
“Consumer” means an individual purchasing wholly or mainly outside of their business, trade, or profession.
“Trade Customer” means a person or entity purchasing goods for commercial purposes.

3. Product Descriptions

We take reasonable care to ensure product descriptions, prices, and availability are accurate. Images are illustrative and may differ from actual products.

4. Prices and VAT

All prices are shown in GBP and exclude VAT unless stated otherwise. VAT is added at checkout where applicable.

5. Payment

We accept major credit/debit cards, PayPal, Apple Pay, Google Pay, and approved trade account invoicing. Orders are subject to payment verification and security checks.

6. Order Acceptance

Your order is an offer to purchase. A contract is formed only when we dispatch the goods. We may reject any order prior to dispatch.

7. Delivery

Delivery times are estimates. We are not liable for delays caused by couriers, customs, or unforeseen events. Full details are provided on our Delivery page.

8. Risk and Title

Risk passes to you upon delivery. Title remains with us until full payment is received.

9. Shortages and Damaged Goods

You must inspect your goods upon receipt. Claims for shortages or damage must be made within 48 hours of delivery.

10. Warranty

Most products are covered by manufacturer warranties. See our Warranty Policy for details. Statutory rights are not affected.

11. Returns and Refunds

12. Consumer Right to Cancel

If you are a consumer, you have 14 days from receipt to cancel your order in accordance with the Consumer Contracts Regulations 2013. You must return goods within a further 14 days at your own cost. Refunds will be issued upon receipt of the returned item.

13. Trade Orders – No Cooling-Off Period

Trade customers are not entitled to cancellation rights under consumer legislation. Cancellations and returns for B2B orders are handled at our discretion and may be subject to restocking fees.

14. Limitation of Liability

We are not liable for indirect, incidental, or consequential loss. Our liability for direct loss is limited to the value of the goods supplied.

15. Intellectual Property

All content on this site is our property or licensed to us. You may not copy, reproduce or use it without permission.

16. Force Majeure

We are not liable for failure to perform due to events beyond our control (e.g. natural disasters, strikes, pandemics).

17. Dispute Resolution

If you have a complaint, please contact us at support@diytools.com. We aim to resolve complaints promptly. We are not obliged to participate in ADR but will advise if escalation is available.

18. Use of Third-Party Couriers

We may use third-party delivery providers. We are not liable for their performance beyond what is contractually promised, although we will assist with claims where possible.

19. Pre-Orders and Backorders

If you place a pre-order or backorder, you will be charged in advance unless otherwise stated. Estimated dispatch times are provided on the product page.

20. Installation and Services

We do not offer installation or on-site services. Products are supplied on a supply-only basis unless otherwise agreed in writing.

21. Trade Account Credit Terms

Invoices issued to trade account customers must be paid within the agreed terms. Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.

22. Limitation of Export

Certain products may be restricted for export. It is the customer's responsibility to ensure compliance with destination country regulations.

23. Tool Registration and Manufacturer Warranties

Some manufacturers offer extended warranties upon registration. It is the customer’s responsibility to complete any such registration to benefit from extended cover.

24. Click and Collect

Click and Collect orders must not be collected until you receive a confirmation email stating that your order is ready. Proof of ID may be required.

25. Communications and Notices

Notices will be considered delivered by email to the address provided by you or by post to the registered business address where applicable.

26. Resale and Commercial Use

Our products are not authorised for resale without prior written consent unless you are an approved trade partner.

27. Governing Law

These terms are governed by and interpreted in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the English courts.

28. Retention of Title

Title to all goods remains with us until payment is received in full. We reserve the right to repossess goods if invoices remain unpaid.

29. Environmental Compliance (WEEE)

Where applicable, we comply with Waste Electrical and Electronic Equipment (WEEE) regulations. Customers may return equivalent WEEE items upon purchase.

30. Data Protection

We handle personal data in accordance with our Privacy Policy. You consent to us processing your data to fulfil your order and maintain our business relationship.

31. Website Availability

While we strive to maintain uptime, we do not guarantee uninterrupted access. Maintenance or updates may cause temporary outages.

32. Promotions and Discount Codes

Promotions and discounts are time-limited, subject to availability, and may be withdrawn without notice. Only one discount code may be applied per order unless otherwise stated.

33. Errors and Omissions

We reserve the right to correct errors in pricing, description, or availability. If an error is identified after order placement, we will offer the option to cancel or proceed at the corrected price.

34. Legal Capacity

By placing an order, you confirm that you have legal capacity to enter into a binding contract either as a consumer or on behalf of a business.

35. Third-Party Links

We may link to external websites. We are not responsible for their content, accuracy, or privacy policies.

36. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Returns Policy, constitute the entire agreement between you and DIYTools relating to the sale of goods.

37. Age-Restricted Products

You must be at least 18 years old to purchase age-restricted items such as knives or bladed tools. We may require proof of age on delivery or collection.

38. Fraud Screening

We reserve the right to carry out fraud screening on orders. This may include ID checks or address verification, especially for high-value transactions. Orders suspected of fraudulent activity may be cancelled or held for review.

39. User-Generated Content

By submitting product reviews or testimonials to our website, you grant us a royalty-free licence to use and display that content in our marketing. You confirm that the content is lawful and does not infringe third-party rights.
